Silencio Voice AI – Participation Terms

These Participation Terms ("Terms") govern access to and use of the Silencio Voice AI platform (the "Platform"), operated by Silencio Network LLC ("Silencio", "we", "us", "our"). The Platform enables individuals ("Users" or "you") to voluntarily submit voice and speech recordings and related data for the purpose of training, validating, testing, and commercializing artificial intelligence and machine learning models.

These Terms supplement and incorporate by reference the Silencio General Terms & Conditions and Privacy Policy (together, the "Core Terms"). In the event of any conflict, these Terms govern solely with respect to the Platform.

1. Eligibility and Access

1. You must be at least eighteen (18) years old and legally capable of entering into binding agreements.
2. You may participate only if such participation is lawful in your jurisdiction.
3. Access to the Platform is a privilege, not a right, and may be suspended or revoked by Silencio at any time.

2. Nature of Participation (No Employment / No Services)

1. No Employment or Agency. You acknowledge and agree that:
   • You are not an employee, contractor, consultant, agent, partner, or joint venturer of Silencio or any of its affiliates or clients.
   • No employment, labor, or service relationship is created by your participation.
   • You are not providing services to Silencio, and Silencio has no obligation to provide work, minimum compensation, or continued access.
2. Participation is entirely voluntary and does not constitute outsourcing, crowdsourced labor, or the provision of professional services.
3. You have no authority to bind Silencio in any manner.

3. Data Submission and Quality Standards

1. You may submit voice recordings, metadata, and related content ("Voice Data") only through approved workflows and active opportunities.
2. Quality Control:
   • All Voice Data is subject to automated and manual validation.
   • Quality criteria (including but not limited to clarity, natural speech, absence of background noise, authenticity, and technical specifications) are defined exclusively by Silencio and may be updated at any time via the Platform, documentation, or official Silencio channels.
3. Bad or Non-Compliant Data:
   • Silencio is under no obligation to accept, retain, validate, or pay for Voice Data that does not meet quality standards.
   • Attempts to submit synthetic, manipulated, fraudulent, or misleading data result in immediate disqualification, forfeiture of rewards, and permanent banning.
4. All determinations regarding data quality, acceptance, rejection, and usability are made in Silencio's sole and absolute discretion and are final.

4. Intellectual Property – Full Ownership by Silencio

1. Irrevocable Assignment: By submitting any Voice Data, you hereby irrevocably assign, transfer, and convey to Silencio all worldwide right, title, and interest in and to such Voice Data, including all intellectual property rights (copyrights, neighboring rights, database rights, and any future rights), for the full term of such rights.
2. Fallback License: Where assignment is not legally permitted, you grant Silencio a perpetual, exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, create derivative works from, distribute, commercialize, and otherwise exploit the Voice Data for any purpose.
3. You irrevocably waive all moral rights or similar rights to the maximum extent permitted by law.
4. Silencio may anonymize, pseudonymize, aggregate, transform, or combine Voice Data with other datasets without restriction.

5. Data Protection, Privacy, and Consent

1. Incorporation of Privacy Policy: All processing of personal data in connection with the Platform is governed by the Silencio Privacy Policy, which is incorporated by reference and forms an integral part of these Terms.
2. Explicit Consent: By submitting Voice Data, you provide explicit, informed, and freely given consent to the collection, recording, storage, processing, analysis, use, sharing, and commercialization of your Voice Data and any associated personal data for the purposes described in these Terms and the Privacy Policy.
3. Special Categories / Biometric Data: To the extent Voice Data may be considered biometric data or otherwise sensitive under applicable law, you explicitly consent to such processing. You acknowledge that your voice may be used to train AI systems capable of speech recognition or synthesis.
4. Third-Party Sharing: You consent to Silencio sharing Voice Data and derived datasets with affiliates, clients, partners, and service providers worldwide for AI training, validation, research, and commercial deployment, subject to the Privacy Policy.
5. Cross-Border Transfers: You acknowledge that data may be transferred and processed outside your country of residence, including jurisdictions with different data protection standards, using appropriate safeguards as described in the Privacy Policy.
6. Withdrawal of Consent: You may withdraw consent as described in the Privacy Policy; however, you acknowledge that:
   • withdrawal does not affect prior lawful processing;
   • Silencio is not required to delete or cease using Voice Data already anonymized, aggregated, licensed, sold, or incorporated into trained models;
   • withdrawal does not create any right to compensation or deletion of derived works or models.
7. User Representations: You represent that you have obtained all necessary permissions from any identifiable third parties whose voices may be included and that no Voice Data of minors is submitted.

6. Payments, Rewards, and Conditions

1. Conditional Payments:
   • Any rewards or payments are conditional upon:
     1. successful quality validation,
     2. client approval and purchase,
     3. correct technical submission, and
     4. compliance with these Terms.
2. Silencio may modify, delay, reduce, suspend, or cancel rewards at any time.
3. Silencio is not obligated to pay for:
   • rejected or unused data,
   • datasets not purchased by clients,
   • data deemed low-quality or non-compliant.
4. Wallet Responsibility:
   • You are solely responsible for providing correct wallet details.
   • Silencio bears zero liability for lost funds due to incorrect wallet addresses, unsupported networks, or user error.
5. Referral rewards are subject to the same conditions and may be revoked.

7. Taxes and Regulatory Compliance

1. You are solely responsible for determining, reporting, and paying all taxes, duties, social security contributions, or governmental charges arising from any rewards, payments, or benefits received through the Platform.
2. Silencio does not withhold taxes, provide tax advice, issue tax documentation, or make any representations regarding the tax treatment of rewards.
3. You represent and warrant that your participation does not trigger employment, worker classification, or mandatory social contribution obligations under the laws of your jurisdiction.
4. You agree to indemnify Silencio for any claims, penalties, assessments, or liabilities arising from tax or labor authority actions related to your participation.

8. Sanctions, AML, and Export Controls

1. You represent and warrant that you are not:
   • located in, ordinarily resident in, or subject to the jurisdiction of any country or territory subject to comprehensive sanctions;
   • listed on, or owned or controlled by any person listed on, any sanctions or restricted parties list, including but not limited to the U.S. OFAC SDN List, EU Consolidated Sanctions List, UK Sanctions List, or UN Sanctions List.
2. You agree that Silencio may conduct sanctions screening, wallet screening, and transaction monitoring at any time.
3. Silencio may suspend or permanently block access, withhold or reverse payments, or freeze participation where required to comply with AML, sanctions, or export control laws.
4. No rewards will be paid where prohibited by applicable law, regulation, or compliance obligation.

9. EU Labor Law and Worker Classification Safeguards

1. The Parties expressly agree that:
   • no employment, worker, dependent contractor, or similar relationship exists;
   • no minimum wage, working time, collective bargaining, holiday pay, or social benefit rights apply.
2. You retain full autonomy over if, when, how, and whether you participate, without obligation, exclusivity, or supervision.
3. Silencio does not provide training, tools, performance management, quotas, schedules, or direction indicative of employment.
4. Any rewards are contingent, irregular, non-guaranteed, and dependent on third-party client demand.
5. These Terms are intended to comply with EU worker-classification jurisprudence and Directive (EU) 2019/1152 and Directive (EU) 2021/2167 to the maximum extent applicable.

10. Right to Suspend, Ban, or Delete

1. Silencio may, at its sole discretion:
   • suspend or terminate accounts,
   • delete submitted data,
   • revoke rewards,
   • restrict future participation.
2. Grounds include, without limitation, policy violations, quality abuse, fraud, manipulation, or reputational risk.
3. Silencio has no obligation to provide notice, justification, or appeal.

11. Disclaimers

1. The Platform is provided "as is" and "as available."
2. Silencio makes no warranties regarding:
   • data acceptance,
   • payments,
   • platform uptime,
   • client demand,
   • future earnings.

12. Limitation of Liability

1. To the maximum extent permitted by law, Silencio shall not be liable for indirect, incidental, consequential, punitive, or special damages.
2. Silencio's total aggregate liability shall not exceed the lesser of USD $100 or the rewards earned in the prior three (3) months.

13. Indemnification

You agree to indemnify and hold harmless Silencio from any claims, losses, damages, or liabilities arising from:

• your data submissions,
• tax obligations,
• third-party rights violations,
• misuse of the Platform.

14. Governing Law and Disputes

These Terms are governed by Delaware law. Disputes are resolved exclusively pursuant to the arbitration provisions in the Core Terms.

15. Miscellaneous

1. Silencio may update these Terms at any time.
2. Continued participation constitutes acceptance.
3. All provisions intended to survive termination shall do so.
